Please read these terms carefully. They explain what you can expect from OG Manager, what we expect from you, and how subscriptions, payments and cancellations work.
1. The agreement
These terms are an agreement between you and OG Manager (“OG Manager”, “we”, “us”), the provider of the OG Manager software (the “Service”), based in Dhaka, Bangladesh. If you use the Service on behalf of a business, you accept these terms for that business and confirm you have authority to do so; “you” then means that business.
An Enterprise or Agency order form signed with us takes precedence over these terms where the two conflict. Our Privacy policy and Refund policy form part of these terms.
2. Accounts and workspaces
You need an account to use the Service. Each customer is an organization (a “workspace”) that owns its subscription, data and users. You must give accurate information, keep your password and two-factor codes safe, and tell us promptly at security@ogmanager.com if you suspect unauthorized access.
- You must be at least 18 years old and able to form a binding contract.
- You must verify your email address before adding billing or inviting members.
- The workspace owner is responsible for the members they invite and the roles they assign.
- The last owner of a workspace cannot be removed; ownership can be transferred.
3. Plans, trials and entitlements
The Service is sold as the Free, Starter, Growth, Pro, Agency and Enterprise plans described on our pricing page, in two price lists: Bangladeshi Taka (BDT) and US dollars (USD). The features and limits of your plan, together with any add-ons you buy, decide what is switched on in your workspace.
Every new workspace receives a 14-day trial of the Growth plan without a payment card. When the trial ends, the workspace moves to the Free plan unless a paid plan has been purchased. The Free plan has no time limit but has the limits shown on the pricing page.
We may change prices or plan contents with at least 30 days’ notice by email. Changes apply from your next billing period; a period you have already paid for is not affected.
4. Billing and payment
Prices are shown before any applicable VAT or tax, which is added to your invoice where required by law.
- BDT payments are processed by SSLCommerz and may be made by bKash, Nagad, Rocket, debit or credit card, or internet banking. BDT subscriptions are prepaid: each payment buys one month or one year of service. We email your next invoice 7 days before the paid period ends.
- USD payments are processed by Stripe or by Paddle (which may act as merchant of record and handle sales tax). USD subscriptions renew automatically at the end of each period until you cancel.
- Manual payments by bank transfer or bKash merchant transfer are prepaid and take effect once an OG Manager administrator confirms receipt against your invoice.
Yearly plans cost ten times the monthly price. Upgrades take effect immediately and unused time on the previous plan is credited on the new invoice. Downgrades take effect at the end of the paid period.
If a payment fails or an invoice is unpaid when due, the subscription becomes past due with a 7-day grace period. If it remains unpaid after the grace period, the workspace moves to the Free plan. Usage above your plan (for example messages, SMS or phone minutes) is billed at provider cost plus the margin shown in your workspace.
We never receive or store your full card details; they are handled by the payment provider.
5. Cancellation
You can cancel at any time from Billing in the app. Cancellation takes effect at the end of the current paid period and can be undone until then. After that the workspace moves to the Free plan. Refunds are covered by our Refund policy.
Your data is never deleted because you downgrade or cancel. Features above the limits of your new plan become read-only. You can ask us to delete the workspace entirely, as described in section 8.
6. Acceptable use
You agree not to, and not to let anyone else:
- send spam or marketing messages to people who have not consented, or ignore opt-outs and quiet hours;
- upload unlawful content, malware, or personal data you have no right to process;
- access another organization’s data, probe or test the Service’s security without written permission, or bypass limits or entitlements;
- use the Service in breach of the terms of connected platforms such as Meta, Google, WhatsApp or Shopify;
- resell the Service except under an Agency plan or a written reseller agreement;
- use the Service to make decisions about health treatment without a qualified professional’s review.
We may suspend a workspace that breaches this section or puts other customers at risk, and will tell you why.
7. AI features and actions
AI features produce suggestions, analyses, drafts and proposed actions. They can be wrong. You are responsible for reviewing outputs before relying on them and for the actions you approve or allow to run automatically.
Actions that change an external platform, such as pausing a campaign, changing a budget or sending messages, pass through our action gateway and follow the approval policies and execution modes your workspace configures. Automatic execution only happens when an authorized member has explicitly enabled it. AI usage consumes AI credits from your plan or purchased packs.
We use AI providers under terms that exclude training their models on your data.
8. Your data
You own the data you put into the Service or sync from connected platforms (“Customer Data”). You grant us a limited right to host, process, back up and display Customer Data only to provide and support the Service for you, as described in our Privacy policy.
You can export your data at any time within the export limits of your plan. On a written request from the workspace owner, we delete the workspace after a 30-day grace period; backups age out within 35 days.
When you disconnect a connector, we revoke its tokens where the provider supports it, stop its schedules and delete its credentials. Synced data then follows your plan’s retention.
9. Connected services
The Service connects to third-party platforms that you choose to authorize. Those platforms are governed by their own terms. We are not responsible for their availability, changes to their APIs, or their actions, although we will work to keep connectors running and tell you when a reconnection is needed.
10. Availability and support
We aim for the service targets described on our Security page and publish incidents on our Status page. Support is provided through the channel included in your plan. A contractual service level agreement applies only where an Enterprise order form includes one.
11. Warranties and liability
The Service is provided “as is”. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the extent the law allows, neither party is liable for indirect, incidental or consequential losses, or for lost profits, revenue or data, and our total liability in any 12-month period is limited to the amount you paid us for the Service in that period. Nothing in these terms limits liability that cannot be limited by law.
12. Governing law
These terms are governed by the laws of Bangladesh. The courts of Dhaka have jurisdiction over any dispute, unless an order form says otherwise. We will first try to resolve any disagreement informally; please write to us before starting proceedings.
13. Changes and contact
We may update these terms. If a change materially affects you, we will email the workspace owner at least 30 days before it takes effect. Questions about these terms: legal@ogmanager.com.
